Contract Types — What Fits Your Use Case

Quick overview of the agreements OuterWave uses for small-parcel, healthcare-aligned courier work. This page explains what each document does and when to use it. (For full policies, see /policies.)

Master Service Agreement (MSA)

  • Framework between OuterWave and your organization.
  • Sets scope (non-hazmat), billing terms (e.g., NET 15), confidentiality, liability caps, and venue.
  • Stays in place while one or more Work Orders define the actual runs.

Work Order (WO)

  • Defines a specific service track: routes, locations, contacts.
  • Holds live economics: base, per-mile, wait, extra stop, minimums, and any multipliers.
  • Links to your planned windows via the Windows Addendum.

Weekly Windows Addendum

  • Lists your reserved pickup windows (days/times) and blackout dates.
  • Governs predictability: missed windows, holds, or temporary switches.
  • Good fit for pharmacies, clinics, nursing/assisted-living.

On-Call / STAT Rider

  • For time-critical coverage: retainers or premium multipliers.
  • Specifies response targets and after-hours rules.
  • Pairs with a WO; used when volume is bursty or urgent.

BAA (When Required)

  • Executed if your workflow requires handling PHI beyond minimum-necessary routing data.
  • Otherwise, we default to no-PHI workflows and de-identify where possible.
  • Start the builder at /contracts/baa once scope and safeguards are confirmed.

Which do I need?

Independent Pharmacies
  • MSA + WO + Weekly Windows Addendum.
  • Optional STAT Rider for after-hours or acute spikes.
Clinics / Labs
  • MSA + WO; Windows Addendum if you want set pickup windows.
  • BAA only if PHI is handled by courier process.
Nursing / Assisted-Living
  • MSA + WO + Weekly Windows Addendum for predictable service.
  • Optional STAT Rider for urgent coverage.

Scope & Limits

  • Small parcels; ≈35 lb per item (no pallets/freight).
  • Non-hazmat only (no UN3373, dry ice, gases).
  • Triangle primary coverage; extended NC by request.

Billing & Terms

  • Pre-paid or account-billed (e.g., NET 15).
  • Transparent model: base + per-mile + wait + extras; minimums may apply.

  • Clinic → Central Lab Shuttle: MSA + WO; add Windows if you want fixed pickup slots.
