Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the websites, apps, tools, and courier/logistics services provided by OuterWave Logistics (“OuterWave,” “we,” “us,” or “our”). By requesting a quote, placing an order, or using our site, you agree to these Terms. If you do not agree, do not use the services.

1) Services

We provide on-demand and scheduled courier/delivery services for non-hazardous small parcels. Specific service levels, pickup/drop-off windows, and special handling must be agreed at the time of order. See our Operating Policies for scope, limits, and restrictions.

2) Quotes, Orders & Changes

  • Quotes are estimates based on information you provide and may change if actual distance, time, wait, surcharges, or handling differ.
  • You are responsible for accurate addresses, contact info, access instructions, and any required on-site credentials.
  • We may decline or cancel an order that violates law, safety, or these Terms (including prohibited items).

3) Rates, Surcharges & Taxes

Rates may include base, per-mile, time/wait, after-hours/holiday, tolls, fuel, and other surcharges plus applicable taxes. Any promotional pricing applies only as stated and may be withdrawn.

4) Payment & Invoicing

  • Individuals: prepaid by secure pay link/card at booking. No cash/COD/driver purchases.
  • Businesses: account-billed (e.g., Net 15) per invoice terms; late balances may incur the maximum finance charge allowed by law.
  • Payments are processed by third-party processors (e.g., Stripe). We do not store full card numbers.
  • Chargebacks for valid services rendered breach these Terms; you remain responsible for fees plus processor/recovery costs.

5) Cancellations, No-Shows, Wait Time

  • You may cancel before dispatch without charge. After dispatch, a cancellation/no-show fee may apply.
  • Wait time beyond any included grace period is billable in increments, as disclosed during booking or per current rate card.

6) Customer Responsibilities

  • Properly package, label, and secure items to withstand transport and comply with all laws (including any required shipping documents).
  • Disclose special handling needs, value, fragility, size/weight, or sensitivity at booking.
  • Provide safe access for pickup/drop-off and ensure an authorized recipient is available when a signature is required.

7) Prohibited & Restricted Items

We do not transport illegal goods, weapons, hazardous materials (e.g., UN3373 Biological Substance, dry ice, compressed gases, fuels/solvents/flammables), cash/cash-equivalents, live animals, or items prohibited by law or policy. We may refuse items that pose health, safety, or property risks. See Operating Policies for details.

8) Delivery Times; Force Majeure

Delivery times are targets, not guarantees. We are not liable for delays caused by factors beyond our reasonable control (e.g., weather, traffic, road closures, government action, labor issues, network or utility outages, emergencies).

9) Loss, Damage & Limited Liability

  • Inspect shipments at delivery. For loss or visible damage, note it on the proof of delivery (POD) and notify us in writing promptly and in any case within 5 business days.
  • Our total liability for loss or damage to goods in our custody is limited to the lesser of (a) your actual, provable direct damages or (b) $100 per shipment, unless otherwise agreed in writing prior to dispatch. We are not responsible for concealed damage not timely reported.
  • We are not liable for indirect, incidental, special, punitive, or consequential damages (including lost profits, business, revenue, or data), even if advised of the possibility.

10) Insurance

You are responsible for any insurance you require. If mutually agreed, declared-value coverage may increase our liability cap up to the agreed amount; it is not insurance and may include exclusions.

11) Independent Contractors & Subcontracting

We may use employees or independent contractors and may subcontract all or part of a job. Use of contractors does not alter our obligations under these Terms.

12) Proof of Delivery; Title & Risk

Title remains with you; risk of loss passes according to applicable law and agreed terms. POD (including name/signature/photo/scan/GPS record) is conclusive evidence of delivery to the designated location or recipient.

13) Privacy & PHI

Our collection and use of personal information is described in our Privacy Policy. By using the services, you consent to those practices. By default, we do not request or store Protected Health Information (PHI). If PHI handling is required, a Business Associate Agreement (BAA) must be executed in advance, and only the minimum necessary information will be used in accordance with documented access controls and retention limits.

14) Website & IP

The site and its content are owned by OuterWave or its licensors. You may not copy, modify, reverse engineer, or use them except as permitted by these Terms and applicable law.

15) Confidentiality

We each may access the other’s non-public information. Each party will use reasonable care to protect the other’s confidential information and use it only as needed to perform or receive the services.

16) Electronic Communications & Signatures

You agree to receive communications electronically (email, SMS, app notifications) and to the use of electronic signatures and records in connection with the services.

17) Termination

We may suspend or terminate access to the site or services for any reason, including suspected fraud or violation of these Terms. You remain responsible for amounts due for services already performed.

18) Governing Law; Venue

These Terms are governed by the laws of the State of North Carolina, without regard to conflict-of-laws rules. Exclusive venue and jurisdiction for any dispute not subject to small-claims court will be the state or federal courts located in Chatham County, North Carolina, and you consent to personal jurisdiction there.

19) Changes to These Terms

We may update these Terms from time to time. Material changes will be posted with a new “Last updated” date. Continued use after changes constitutes acceptance.
